Terms and Conditions
for the Tesseract and Memocubes
Version 4.2 | Issued by Tesseract Operations LLC (“TESSOP”). TESSOP is the operating entity for Project Tesseract by the DARI Foundation.

1. General Overview
Through the Tesseract Project and TESSOP, the nonprofit DARI Foundation enables individuals and organizations to preserve their legacy, contribute to human-aligned artificial intelligence, and participate in a monumental collective artwork for the future of civilization.
These Terms of Service (“Terms”) govern your access and use of the Tesseract Project and the products, websites, features, applications, services, software, and technologies we offer, including www.memocube.org (collectively, the “Tesseract Products”). These Terms make up the entire agreement between you and TESSOP and/or the Tesseract Project regarding your participation in the Tesseract through ownership of one or more Memocube/s. They supersede any prior agreements.
By purchasing, reserving, accessing, or otherwise interacting with any part of the Tesseract Project, including Memocubes, you agree to be bound by these Terms. If you do not agree, you may not access or use the Tesseract Products.
Our Privacy Policy explains how we collect and use your personal data. You can also go to your Tesseract Account Settings to review the privacy choices you have about how we use your data. Under no circumstances we sell your personal data to third parties and we don’t share information that directly identifies you (such as your name, email address or other contact information) unless you give us specific permission.
2. What We Provide
The Tesseract Project is a large-scale legacy, alignment, and cultural initiative composed of one million individual Memocubes. TESSOP reserves the right to expand the Tesseract by up to 3 additional layers to meet demand or finance critical project needs. Through the Tesseract Products, we:
2.1 Provide a personalized Memocube experience
You can browse, select, reserve, upload content to, and configure access rights for your Memocube(s) through www.memocube.org on its respective interfaces.
2.2 Enable meaningful digital preservation
You can upload up to 1.11 GB of data to each Memocube. Extended storage (up to 7.5 TB), physical inclusions (up to 2 cm³), and other features are available upon request and additional fees. All remaining data capacity of Memocubes is used to provide a long-term civilizational data vault, holding knowledge, history, literature, science, culture, art, pop-culture, and any other type of information representing humankind’s civilizational non-synthetical knowledge corpus at the dawn of superintelligent artificial intelligence.
2.3 Empower philosophical engagement
During the lock procedure, you are asked 10 questions about the future of humanity and AI, contributing to a global alignment framework.
2.4 Commission a monumental structure
Once 920,000 Memocubes are locked, TESSOP will initiate production of the physical Tesseract. Final placement will follow scientific review and may include subterranean, deep-sea, or protected land-based locations. The current main candidate site is a decommissioned salt-mine in an off-grid, remote area with low risk for manmade and natural disasters.
2.5 Ensure symbolic value and accessibility
Each Memocube includes: A Digital Twin (NFT-backed); Optional Physical Twins (Tesseract and/or Memocube replicas); and Celestial Twins (a representation of individual data included in up to six deep-space probes).
2.6 Support a long-term charitable mission
All proceeds from Memocube sales and TESSOP profits exclusively fund the activities around preparing, marketing, production, and locating of the Tesseract and the non-profit purposes of the DARI Foundation.
3. Your Commitments
To access or use Tesseract Products, you agree to a) Provide accurate information and maintain security of your credentials, b) Not use Memocubes for temporary cloud storage or illegal content, c) Respect the integrity and privacy settings of other users’ Memocubes; and d) Refrain from speculative, misleading, or unauthorized use of Tesseract Products. Ownership of Memocubes does not confer financial security, equity, or investment interest.
4. Ownership, Locking, and Transfer
4.1 Memocube Ownership
Your usage rights in your Memocube are granted upon full payment. You may resell, gift, or transfer ownership in these rights via the Digital Twin (Non-Fungible Token / NFT), subject to applicable laws and payment of an administrative fee.
4.2 Locking Procedure
Once locked, a Memocube is final and immutable. During locking, you define:
- Access visibility (public, password-protected, or private)
- Answer 10 alignment questions
- Optionally designate fallback owners
4.3 Completion Thresholds
- At 920,000 locked Memocubes: production begins
- At 950,000: a 45-day final upload period begins. After that, fallback owners have 20 days to act; if no action, Memocube is assigned to a charitable organization.
5. NFTs and Twins
5.1 Digital Twin
Each Memocube has a corresponding NFT. Ownership of rights are linked to the NFT. Terms of the smart contract apply and may vary by jurisdiction.
5.2 Physical Twin
Each Memocube is also part of a full-scale replica, with candidate host cities including Doha, Dubai, and Singapore. This installation is aspirational and not guaranteed.
5.3 Celestial Twin
Extracts of your personal Memocube data are included on up to six deep-space probes. Following an arithmetic launch schedule, early owners have a higher probability of inclusion across all probes.
6. Pricing, Refunds, and Rights
6.1 Pricing
Each Memocube is priced by layer and cube number. Prices are publicly listed on www.memocube.org and are non-negotiable.
6.2 Refunds
Purchases are final. In the event the Tesseract Project is not realized, unused funds will be donated to a charitable organization selected via community vote.
6.3 Content Rights
You retain ownership of uploaded content, but grant TESSOP and the DARI Foundation a non-exclusive license for operational and archival purposes.
7. Tesseract and Memocube Content Guidelines
We want every human to use the Tesseract to express themselves and to leave a lasting legacy in the form of digital content that is important to them, but not at the expense of the safety and well-being of others or the integrity of our project. You therefore agree not to engage in the conduct described below (or to facilitate or support others in doing so):
You may not use our Products to do or share anything:
- That violates these Terms, our Ethical Standards, or other terms and policies that apply to your participation in the Tesseract project.
- That is unlawful, misleading, discriminatory or fraudulent or assists someone else to participate in the Tesseract in such a way.
- That you do not own or have the necessary rights to share.
- That infringes or violates someone else’s rights, including their intellectual property rights (such as by infringing another’s copyright or trademark), unless an exception or limitation applies under applicable law.
- You may not upload viruses or malicious code, use the services to send spam, or do anything else that could disable, overburden, interfere with, or impair the proper working, integrity, operation, or appearance of our services or systems.
You may not access or collect data from the Tesseract project using automated means (without our prior permission) or attempt to access data you do not have permission to access, regardless of whether such automated access or collection is undertaken while logged-in to a Tesseract account.
You may not proxy, request, or collect usernames or passwords, or misappropriate access tokens. You may not sell, license, or purchase any data obtained from us or our services, regardless of whether such data was obtained while logged-in to a Tesseract account.
You may not misuse any reporting, flagging, dispute, or appeals channel, such as by making fraudulent, duplicative, or groundless reports or appeals.
You may not do, or attempt to do, anything to circumvent, bypass, or override any technological measures that TESSOP, DARI or the Tesseract Project uses to control or limit access to our systems, services or data.
We can remove or restrict access to content that is in violation of these provisions. We can also suspend or disable your account for conduct that violates these provisions. If we remove content that you have shared in violation of our standards, we’ll let you know and explain any options you have to request another review, unless you seriously or repeatedly violate these Terms or if doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.
We also can remove or restrict access to content, features, services, or information if we determine that doing so is reasonably necessary to avoid or mitigate misuse of our services or adverse legal or regulatory impacts to TESSOP, DARI or the Tesseract Project.
8. Your Permissions to TESSOP, DARI and the Tesseract Project
1. Your content
Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws. You retain ownership of the intellectual property rights (things like copyright or trademarks) in any such content that you create and share on the Tesseract project and in your Memocube/s. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want. However, to provide our services we need you to give us some legal permissions (known as a “license”) to use this content. This is solely for the purposes of providing and improving our services as described above.
2. Permission to use content you upload and share
Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our Products, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). This means, for example, that if you upload a photo onto your Memocube, you give us permission to store, copy, and share it with others (again, consistent with your settings) including with partners and service providers that support our services. This license will end when your content is deleted from our systems.
3. Deleting Your Content
You can delete individual content you share, post, and upload at any time, unless you have locked your Memocube or your Memocube has been locked as part of the closing procedure, latest when reaching the physical production threshold of 950,000 sold Memocubes. In such a case, no alteration or deleting is possible. Prior to you locking-in your Memocube, all data and content uploaded onto your Memocube can be deleted or will automatically be deleted if you delete your account.
Content will not be deleted in the following situations where your content has been locked-in as part of the Memocube lockup procedure in accordance with this license; where deletion is not possible due to technical limitations of our systems, in which case, we will complete the deletion as soon as technically feasible; or where immediate deletion would restrict our ability to: investigate or identify illegal activity or violations of our terms and policies (for example, to identify or investigate misuse of our Products or systems); protect the safety, integrity, and security of our Products, systems, services, our employees, and users, and to defend ourselves; comply with legal obligations for the preservation of evidence, including data to comply with any record keeping obligations required by law; or comply with a request of a judicial or administrative authority, law enforcement or a government agency; in which case, the content will be retained for no longer than is necessary for the purposes for which it has been retained (the exact duration will vary on a case-by-case basis). In each of the above cases, this license will continue until the content has been fully deleted.
9. Use of Funds and Transparency
All revenues will be used for:
- Design, production, launch, marketing, and communications of the Tesseract, its replicas, digital, and celestial representations
- Scientific research and engineering support
- Deep-space probe launches
- Any other activities and cost related or necessary to fulfill the mentioned activities or to further develop the Tesseract project
All profits (net-income or profit-after-tax (PAT)) of TESSOP are 100% donated to the nonprofit DARI Foundation, its mission, activities, and charitable programs. TESSOP commits to professional documentation, transparent reporting, and independent auditability of fund use.
10. Restrictions and Prohibited Uses
You may not:
- Use the Tesseract Products for illegal or malicious activity
- Upload or associate prohibited, hateful, or misleading content with a Memocube
- Sell Memocubes as financial securities
- Interfere with the locking system or access controls
Violation may result in suspension of rights or disassociation from the Tesseract.
11. Termination, Suspension, or Modification
We may suspend or modify access to your Memocube or related services if:
- Terms are violated
- Required by law or regulation
- Required to protect the integrity of the Tesseract Project
You may request deletion of your Memocube before it is locked. Locked Memocubes cannot be deleted or altered.
12. Liability and Disclaimers
TESSOP and/or DARI Foundation:
- Make no guarantees regarding appreciation, liquidity, or market value
- Is not liable for delay, loss, or technical failure beyond its control
- Is not responsible for speculative resale or third-party claims related to NFTs or replicas
We work constantly to improve our services. As a result, we may need to update these Terms from time to time to accurately reflect our services and practices, to promote a safe and secure experience on our services, and/or to comply with applicable law. We will only make any changes if the provisions are no longer appropriate or if they are incomplete, and only if the changes are reasonable and take due account of your interests or if the changes are required for safety and security purposes or to comply with applicable law.
We will notify you (for example, by email or through our services) at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect, unless changes are required by law. Once any updated Terms are in effect, you will be bound by them if you continue to access or use our services.
The Tesseract Project and all related services are provided “as is,” and to the extent permissible by law, we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections.
To the extent permitted by law, we also disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content).
We cannot predict when issues might arise with our services. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law. To the fullest extent permitted by applicable law under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or the Tesseract Project (however caused and on any theory of liability, including negligence), even if we have been advised of the possibility of such damages.
13. Jurisdiction and Dispute Resolution
These Terms are governed by Swiss law. Disputes shall be resolved before competent courts in the country of the seat of TESSOP or as decided by the TESSOP, unless otherwise required by mandatory law.
14. Funding and Utilization of Proceeds
Estimated total revenue from 1 million Memocube sales: approx. USD 2 billion.
Use of funds: Construction and logistics of the Tesseract; Research and platform development; Charitable and strategic missions of the DARI Foundation through — whenever applicable — tax-deductible profit donations to DARI Foundation; Operational costs and outreach. Initially, funds will be focused on outreach and infrastructure; later, toward production and DARI Foundation endowment.
15. Transfer and Secondary Market
While not intended as speculative or financial assets, Memocubes (via their NFT) may be transferred.
TESSOP or DARI Foundation do not guarantee future value, liquidity, or appreciation.
Buyers are encouraged to see the Memocube as a legacy artifact rather than an investment. No resale profit is guaranteed or implied.
16. Disclaimers
A Memocube is not:
- A financial security, tokenized investment, or equity share
- A cloud storage solution or commercial data archive
- A speculative cryptocurrency product
- A time-limited or monetizable asset in a legal or fiscal sense
17. Final Provisions
These Terms are governed by the laws of Switzerland.
TESSOP reserves the right to:
- Update these Terms to reflect operational, legal, or ethical developments
- Substitute service providers or partners as required
- Refuse ownership or revoke access in cases of abuse, illegal content, or breach of mission
Questions and disputes will be handled by the Ethics Board of the Tesseract Project, with appeals handled by the DARI Foundation’s Advisory Board.
